Terms of Service

1. Acceptance of Terms

By accessing or using the FoodBridge.io platform (“Platform”), mobile applications, APIs, or any related services (collectively, “Services”) provided by FoodBridge.io (“FoodBridge.io,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

2. Definitions

• “Platform” means the FoodBridge.io web application, APIs, and all associated technology infrastructure.
• “User” means any individual or entity that creates an account on or accesses the Platform, including Manufacturers, Distributors, Retailers, and their authorized personnel.
• “Node” means a single operational unit within a supply chain network that subscribes to the Platform (e.g., a manufacturing plant, a distribution center, a retail outlet).
• “User Data” means all data, content, information, and materials that Users upload, submit, store, or transmit through the Platform.
• “Subscription Plan” means the pricing tier selected by the User (Kickstarter, Standard, or Enterprise) as described on the Plans page.
• “Network” means the interconnected community of Users on the Platform who engage in supply chain transactions.
• “SmartBasket” means the AI-powered dynamic ordering feature available to Retailers on the Platform.
• “Managed Services” means the onboarding, migration, training, and ongoing support services provided by Foodbridge.io.

3. Eligibility & Account Registration

3.1 Eligibility

To use the Services, you must be at least 18 years of age, be a legal entity or an authorized representative of a legal entity registered in India, and have the legal capacity to enter into a binding agreement.

3.2 Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. FoodBridge.io supports password-less login via OTP for ease of access. You must notify FoodBridge.io immediately of any unauthorized use of your account.

3.3 Authorized Users

You may authorize personnel within your organization to access the Platform under your account, subject to the user limits of your Subscription Plan (50 users for Kickstarter, 100 for Standard, unlimited for Enterprise). You are responsible for all activities conducted through authorized user accounts.

4. Description of Services

FoodBridge.io provides a cloud-based supply chain management platform for the food industry. The Services include:

• Order Management: Digital order collection, tracking, processing, and fulfillment with comment-based preferences and recommended search.
• Inventory Management: Real-time inventory tracking with predictive analytics, slow-moving product identification, and batch-level stock visibility.
• Catalog Management: Customer-specific product and price listings, pre-made successful catalog combinations, and one-click market expansion.
• Campaign Management: Personalized pre-order campaigns via email, SMS, and WhatsApp (plan-dependent), with performance metrics and an intuitive no-code creator.
• Dispatch & Delivery: PIN-based delivery confirmation, QR gate passes, AI route optimization, returns handling, and automated packaging lists.
• Payment & Invoicing: Dynamic invoicing, multi-delivery tracking per order, automated payment processing, and complete audit trails.
• SmartBasket: Dynamic ordering for Retailers to optimize orders to budget, with flexible delivery options.
• AI Intelligence: Demand prediction, smart supplier matching, inventory optimization, and network-effect-driven insights.
• Marketplace: (Coming Soon) A connected marketplace for discovering and transacting with new supply chain partners.
• Managed Services: Guided onboarding (2-4 weeks), data migration, team training, and dedicated support.

5. Subscriptions & Pricing

5.1 Subscription Plans

FoodBridge.io offers three subscription tiers, priced per node per month:

• Kickstarter (₹2,000/month): Single location, email campaigns, order/inventory/invoice management, cataloguing, online payment, up to 50 users. Public SaaS deployment.
• Standard (₹3,500/month): Up to 3 locations, WhatsApp & SMS campaigns, third-party payment integration, D2C e-commerce, up to 100 users, consulting services. Public SaaS deployment.
• Enterprise (₹5,000/month): 5+ locations, Tally/accounting integration, customized development, unlimited users, dedicated private cloud deployment, migration assistance, lifetime license option.

5.2 Free Trial

FoodBridge.io may offer a free trial period. No credit card is required to start a free trial. At the end of the trial, you must select a Subscription Plan to continue using the Services. Data created during the trial will be preserved upon subscription.

5.3 Pricing Changes

FoodBridge.io reserves the right to modify pricing with at least 30 days’ written notice. Price changes will take effect at the start of your next billing cycle. Existing contracts at locked rates will be honored until their renewal date.

6. Payment Terms

Subscription fees are billed monthly in advance in Indian Rupees (INR). Payment methods accepted include UPI, net banking, credit/debit cards, and other methods as made available on the Platform. All fees are exclusive of applicable taxes (GST), which will be charged in addition to the subscription fee.

If payment is not received within 7 days of the due date, FoodBridge.io may suspend access to the Services. If payment remains outstanding for 30 days, FoodBridge.io may terminate the account, with User Data retained for a further 30 days to allow recovery.

Refunds are available on a pro-rata basis for annual subscriptions cancelled within the first 30 days. Monthly subscriptions are non-refundable but will remain active until the end of the current billing period.

7. User Obligations & Conduct

7.1 Acceptable Use

You agree to use the Platform only for lawful business purposes related to food supply chain management. You shall not:

• Use the Platform for any illegal activity, including but not limited to fraud, money laundering, or trade in prohibited goods.
• Attempt to gain unauthorized access to other Users’ accounts, data, or any part of the Platform’s infrastructure.
• Upload or transmit any viruses, malware, or other harmful code.
• Engage in any activity that disrupts or interferes with the Platform’s functionality or other Users’ experience.
• Scrape, crawl, or use automated means to extract data from the Platform without written consent.
• Resell, sublicense, or redistribute access to the Platform without authorization.
• Misrepresent your identity, business, or product information on the Platform.

7.2 Data Accuracy

You are responsible for the accuracy and completeness of all data you input into the Platform, including product information, pricing, inventory levels, and transaction records. FoodBridge.io is not liable for errors arising from inaccurate User-provided data.

7.3 Compliance

You shall comply with all applicable laws and regulations, including but not limited to the Food Safety and Standards Act, 2006 (FSSAI), the Indian Contract Act, 1872, GST regulations, and any applicable data protection legislation.

8. Data Ownership & Control

8.1 Ownership

All User Data uploaded to or generated through the Platform remains the exclusive property of the User. FoodBridge.io acquires no ownership rights in User Data.

8.2 License to FoodBridge.io

You grant FoodBridge.io a limited, non-exclusive, worldwide license to host, store, process, and display your User Data solely for the purpose of providing the Services. This license terminates upon deletion of your data or termination of your account.

8.3 Aggregated & Anonymized Data

FoodBridge.io may create aggregated and anonymized datasets derived from User Data for the purpose of improving the Platform, generating market insights, training AI models, and producing industry benchmarks. Such aggregated data will not identify any individual User or their specific business information.

8.4 Data Sharing Controls

You control what data is visible to other Network participants. Product listings, catalog information, and campaign content shared through the Network or Marketplace are visible to intended recipients as configured by you. Internal operational data (inventory levels, financial data, internal notes) is never shared with other Users without your explicit consent.

9. Intellectual Property

The Platform, including its software, algorithms, AI models, user interface, design, documentation, and all related intellectual property, is owned by FoodBridge.io and protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you except the limited right to use the Platform as described herein.

FoodBridge.io’s name, logo, and product names are trademarks of FoodBridge.io Technologies Private Limited. You may not use these marks without prior written consent.

Any feedback, suggestions, or improvement ideas you provide to FoodBridge.io may be used by FoodBridge.io without restriction or compensation. You are not obligated to provide feedback.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information exchanged during the use of the Services. This obligation survives termination of these Terms for a period of two (2) years.

Confidential information does not include information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law or regulatory authority.

11. Warranties & Disclaimers

11.1 Service Availability

FoodBridge.io shall use commercially reasonable efforts to maintain Platform availability of 99.5% uptime, measured monthly, excluding scheduled maintenance windows. We will provide at least 24 hours’ notice for scheduled maintenance.

11.2 Disclaimer

Except as expressly stated herein, the Services are provided “AS IS” and “AS AVAILABLE.” FoodBridge.io makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

FoodBridge.io does not warrant that the Services will be uninterrupted, error-free, or that all defects will be corrected. FoodBridge.io does not guarantee any specific business outcomes, cost savings, or efficiency improvements from using the Platform.

11.3 Third-Party Integrations

The Platform may integrate with third-party services (Tally, payment gateways, WhatsApp Business API, etc.). FoodBridge.io is not responsible for the availability, accuracy, or functionality of third-party services.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• io’s total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to FoodBridge.io in the twelve (12) months preceding the claim.
• io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
• io shall not be liable for damages arising from reliance on AI-generated predictions, recommendations, or automated decisions made by the Platform.

13. Indemnification

You agree to indemnify, defend, and hold harmless FoodBridge.io, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any dispute between you and any other User or third party; or (e) any User Data you upload or transmit through the Platform.

14. Termination & Suspension

14.1 Termination by User

You may terminate your account at any time by providing written notice to FoodBridge.io. Termination will be effective at the end of your current billing period. Pre-paid fees for unused periods of annual subscriptions are refundable on a pro-rata basis if cancelled within 30 days; otherwise, no refunds for partial billing periods.

14.2 Termination by Foodbridge.io

Foodbridge.io may suspend or terminate your account if you breach these Terms, fail to pay fees for 30 or more days, use the Services for illegal purposes, or if continued service poses a security risk to the Platform or other Users. Foodbridge.io will provide at least 7 days’ notice before termination, except in cases requiring immediate action.

14.3 Effect of Termination

Upon termination, your access to the Platform will cease. Your User Data will be retained for 30 days post-termination to allow for data export. After 30 days, User Data will be permanently deleted unless legally required to be retained.

15. Data Portability & Exit

• Kickstarter & Standard Plans: Data dump in standard formats (CSV, Excel) available upon request.
• Enterprise Plan: Full migration assistance provided, including data export in your preferred format and transition support to alternative systems.

Data export requests will be fulfilled within 15 business days. There is no charge for data export.

16. Modifications to Terms

Foodbridge.io may modify these Terms at any time. Material changes will be communicated via email to your registered address and/or through a prominent notice on the Platform at least 30 days before the changes take effect.

If you disagree with the modified Terms, you may terminate your account before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

17. Governing Law & Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

17.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, in English, with the seat of arbitration in Pune, Maharashtra, India.

17.3 Jurisdiction

Subject to the arbitration clause above, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any matters not subject to arbitration.

18. Miscellaneous

• Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or internet service disruptions.
• Entire Agreement: These Terms, together with the Privacy Policy and any applicable Subscription Order, constitute the entire agreement between you and Foodbridge.io.
• Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure by Foodbridge.io to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without Foodbridge.io’s prior written consent. Foodbridge.io may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: All notices under these Terms shall be sent to the email address on file. Notices to Foodbridge.io should be sent to the contact information provided below.
